Terms of Service

1. Who we are
QBI Tracker (the "Service") is operated by Simplified Strategy Consulting, LLC ("SSC," "we," "us"), a Michigan limited liability company with a principal business address at 2801 N Van Dyke Rd, Imlay City, MI 48444, USA. These Terms of Service ("Terms") govern your access to and use of the Service.
2. Acceptance of these Terms
By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a company, agency, or other organization (the "Customer"), you represent that you are authorized to bind that Customer to these Terms, and "you" refers to that Customer.
3. The Service
QBI Tracker is a software-as-a-service application that ingests Customer-provided sales reports, computes performance metrics (including a Quality of Business Index), and presents those metrics to authorized users within a Customer's workspace.
4. Accounts and access
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
- You must promptly notify SSC of any unauthorized access or use.
- Each license seat is for a single named individual; credential sharing is prohibited.
5. Subscription, fees, and renewal
- Paid plans are billed monthly or annually in advance, via Stripe.
- Plans renew automatically at the end of each billing period until canceled by you.
- Fees are non-refundable except as described in the Refund Policy.
- SSC may change pricing on at least thirty (30) days' notice; new pricing applies to the next renewal.
- Annual plans are billed at ten (10) times the monthly rate (two months free) and are non-refundable except as described in the Refund Policy.
6. Lapsed accounts
If a payment fails, the workspace enters a graduated lockout: read-only access after five (5) days, full suspension after ninety (90) days, and permanent deletion of Customer Data approximately one hundred eighty (180) days after the initial failed payment. SSC will email account owners at least fourteen (14) days before any permanent deletion.
7. Customer Data
- "Customer Data" means any data you or your users upload to or generate within the Service.
- You retain all right, title, and interest in Customer Data.
- You grant SSC a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely to operate, maintain, and improve the Service for you.
- SSC will not sell or share Customer Data with third parties for marketing.
- SSC's handling of personal data within Customer Data is further described in the Privacy Policy and, where applicable, the Data Processing Addendum.
8. Acceptable use
Your use of the Service is also governed by the Acceptable Use Policy. Material violations may result in suspension or termination without refund.
9. Service availability
SSC will use commercially reasonable efforts to keep the Service available, but the Service is provided on an "as is" and "as available" basis. No specific uptime or recovery-time commitment is made under these Terms; any commitment to a Service Level Agreement must be in a separately executed written agreement.
10. Intellectual property
The Service, including all software, designs, and trademarks, is and remains the exclusive property of SSC. No rights are granted to you other than the limited right to use the Service under these Terms.
11. Confidentiality
Each party will protect the other's non-public business information disclosed in connection with the Service with the same degree of care it uses for its own confidential information, and not less than a reasonable degree of care.
12. Termination
- You may cancel at any time through the in-app billing portal; access continues until the end of the current paid period.
- SSC may suspend or terminate the Service for material breach, unpaid fees, or violation of the Acceptable Use Policy.
- On termination, Customer Data is retained per Section 6 (Lapsed accounts) or, on Customer request, exported and deleted on reasonable notice.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. SSC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO SSC FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You will defend and indemnify SSC against any third-party claim arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.
16. Governing law and venue
These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws rules. Each party submits to the exclusive jurisdiction of the state and federal courts located in Lapeer County, Michigan.
17. Changes
SSC may modify these Terms by posting a revised version and updating the "Last updated" date. Material changes will be communicated by email or in-app notice at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
